Terms of Service

1. Agreement
These Terms of Service ("Terms") govern your access to and use of Replyvana (the "Service"), operated by Avanta LLC ("we", "us"). By creating an account or using the Service, you agree to these Terms. If you’re using the Service on behalf of an organization, you’re agreeing on its behalf.
2. The Service
Replyvana is a customer-support platform providing a shared inbox, live chat widget, knowledge base, and AI-assisted reply drafting. We may add, change, or remove features over time. Some features described on our website may be in development.
3. Accounts
You’re responsible for your account, your workspace members, and keeping your login secure. You must be at least 18 and able to form a binding contract. You’re responsible for activity under your account.
4. Acceptable use
Don’t use the Service to break the law, infringe others’ rights, send spam, upload malware, attempt to gain unauthorized access, or abuse the AI features. We may suspend accounts that put the Service or other customers at risk.
5. Your data and your customers’ data
You retain ownership of the content you and your customers submit ("Customer Data"). You grant us a limited license to process it solely to provide and improve the Service. You are responsible for having the rights and notices needed to collect and process your end users’ data through the Service. Our handling of personal data is described in our Privacy Policy.
6. AI features and bring-your-own-key
AI drafts are suggestions; you’re responsible for reviewing replies before they’re sent to your customers. If you connect your own AI provider key ("BYOK"), you’re responsible for that provider’s terms and any usage charges they bill you directly. Managed AI allowances are described on our pricing page and may change.
7. Fees and billing
Paid plans are billed in advance on a recurring basis through our payment processor (Stripe). Fees are non-refundable except where required by law. You can cancel anytime; cancellation takes effect at the end of the current billing period. We may change pricing with reasonable notice.
8. Third-party services
The Service relies on third-party providers (e.g. hosting, AI, email, and payments). Their availability is outside our control, and your use of integrations you enable is subject to their terms.
9. Intellectual property
We own the Service and all related software and branding. These Terms don’t grant you any rights to our trademarks. Feedback you give us may be used without obligation to you.
10. Disclaimers and limitation of liability
The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, Avanta LLC will not be liable for indirect or consequential damages, and our total liability is limited to the amount you paid us in the 12 months before the claim.
11. Termination
You can stop using the Service at any time. We may suspend or terminate access for breach of these Terms. On termination, your right to use the Service ends; we may delete Customer Data after a reasonable period.
12. Changes
We may update these Terms. If we make material changes, we’ll take reasonable steps to notify you. Continued use after changes means you accept the updated Terms.
